Welcome to Dentva, an AI-powered voice receptionist service for dental practices, owned and operated by Sparc Media LLC (“Dentva,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the Dentva website (https://dentva.ai) and all related products, services, software, and tools (collectively, the “Service”).

By accessing or using Dentva, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.


1. Accounts and Subscriptions

1.1 Account Creation

To use certain features of the Service, you must create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

1.2 Account Responsibilities

You agree to notify us immediately of any unauthorized use of your account or security breach. We are not liable for any loss or damage arising from your failure to maintain account security.

1.3 Subscription Services

Some features require a paid subscription. Subscriptions are billed in advance on a recurring basis (e.g., monthly or annually) and automatically renew unless canceled before the renewal date.

1.4 Cancellation and Renewal

You may cancel your subscription anytime by contacting us. Cancellation will take effect at the end of the current billing cycle. No refunds are provided for unused portions of a billing period.

1.5 Payment and Billing

You must provide accurate billing information (name, address, payment details) to maintain your subscription. If automatic billing fails, we may issue an invoice requiring manual payment.

1.6 Pricing Changes

We reserve the right to change subscription pricing. Any changes will apply after your current billing cycle. Continued use after a price change constitutes acceptance of the new terms.

1.7 Refund Policy

Payments are generally non-refundable. However, refunds may be issued at our discretion and as required by applicable law.

1.8 Promotions

From time to time, we may offer promotions or special programs subject to additional terms. If promotional terms conflict with these Terms, the promotional terms control for that offer only.


2. Access to the Service

2.1 License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Dentva solely for your internal business operations.

2.2 Restrictions

You may not:

  • Resell, sublicense, or redistribute the Service.

  • Reverse engineer, decompile, or attempt to extract source code.

  • Use the Service to build a competing product.

  • Copy, modify, or distribute any part of the Service without our written consent.

2.3 Modifications

We may modify, suspend, or discontinue the Service at any time without liability.

2.4 Ownership

All intellectual property rights in the Service belong to Sparc Media LLC or its licensors. No rights are transferred to you except those expressly granted here.

2.5 Feedback

Any feedback or suggestions you provide may be used by us without restriction or obligation.

2.6 Eligibility

You must be at least 18 years old to use Dentva. The Service is available to residents of the United States and Canada only. Access from jurisdictions where the Service is illegal is prohibited.


3. Call Recording and Messaging

3.1 Call Recording

By using Dentva, you acknowledge and consent that phone calls handled through the Service may be recorded and transcribed. You are solely responsible for obtaining any necessary consent from participants as required by law.

3.2 Text Messaging

Dentva may send text messages (e.g., appointment confirmations, missed-call follow-ups) to patients or staff who have provided consent. Recipients can opt out at any time by replying “STOP.”


4. User Content

4.1 Definition

“User Content” means all data, information, and materials you provide, including patient details, practice data, and call information.

4.2 Responsibility

You are solely responsible for your User Content and any consequences of its submission or use.

4.3 License to Use User Content

You grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and analyze your User Content to provide and improve the Service, develop new features, and ensure compliance with legal obligations.

4.4 Acceptable Use

You agree not to:

  • Violate any third-party rights (copyright, trademark, privacy, etc.)

  • Upload or transmit unlawful, defamatory, obscene, or harmful content

  • Harm minors or attempt to collect information from them

  • Upload malware or malicious code

  • Send spam or unauthorized advertising

  • Harvest user data without consent

  • Interfere with the Service or attempt unauthorized access

  • Automate queries or scrape the Service without permission

4.5 Enforcement

We may remove content, suspend accounts, or notify authorities if we believe these Terms or laws are being violated.


5. Third-Party Services and Links

5.1 Integrations

Dentva may integrate with third-party tools (e.g., Twilio, Calendly, OpenAI, HubSpot). We are not responsible for their services or policies. Your use of third-party tools is subject to their own terms and privacy policies.

5.2 Third-Party Links & Ads

The Service may contain links or ads to third-party websites. We do not control or endorse them. Your use is at your own risk.

5.3 Other Users

Each user is solely responsible for their own content and actions. We are not liable for user conduct or content.

5.4 Release

You release Dentva and its affiliates from all claims arising out of interactions with other users or third-party links. California residents waive Civil Code §1542 regarding unknown claims.


6. Indemnification

You agree to indemnify and hold Sparc Media LLC, its officers, employees, and affiliates harmless from any claims, damages, or expenses arising from:

  • Your use of the Service

  • Violation of these Terms

  • Infringement of third-party rights

  • User Content you provide


7. Disclaimers

The Service is provided “as is” and “as available.” We make no warranties, express or implied, regarding availability, accuracy, fitness for a particular purpose, or non-infringement.
AI-generated content and transcriptions may contain inaccuracies and must be independently verified before use.


8. Limitation of Liability

To the fullest extent permitted by law, Sparc Media LLC shall not be liable for indirect, incidental, special, consequential, or exemplary damages arising from your use of the Service. Our total liability for all claims shall not exceed $50 USD.


9. Termination

We may suspend or terminate your account at any time for violation of these Terms or other misuse. Upon termination, your access to the Service will end immediately, and we may delete associated data.


10. Copyright & DMCA Policy

We respect intellectual property rights and respond to DMCA takedown requests.

11. Dispute Resolution & Arbitration

  • All disputes will be resolved by binding arbitration under JAMS rules and the Federal Arbitration Act.

  • You waive the right to a jury trial and class actions.

  • You may bring individual claims in small claims court or seek injunctive relief for IP violations.

  • All arbitration proceedings will be confidential.

  • You may opt out within 30 days of first accepting these Terms by emailing hello@dentva.ai.


12. Export Controls

You agree to comply with all applicable U.S. and Canadian export laws. You will not export or re-export the Service or related data in violation of such laws.


13. U.S. Government End-User Rights

If acquired by or on behalf of a U.S. Government entity, the Service is “Commercial Computer Software” under FAR and DFARS provisions and is licensed with only those rights granted to all other users.


14. Electronic Communications

By using the Service, you consent to receive notices electronically. Emails and in-app messages satisfy legal requirements for written communication.
